Holders of 50% or more outstanding voting shares may seek the corporation’s dissolution based on evidence that (1) the directors differ on how to manage the corporation’s affairs to the point they cannot obtain the votes required to take action; (2) the shareholders disagree and cannot obtain the votes required to elect directors; or (3) shareholder factions split, and hence dissolution is deemed beneficial to shareholders. BCL 1104. If corporate management is deadlocked, it may be a good idea (from an owner/equity perspective) to either remove the deadlock or dissolve the corporation.
